For custom development projects, ownership of deliverables will be governed by separate project agreements or statements of work. Unless otherwise specified, you retain ownership of your content and data provided to us.
Fees for our Services will be outlined in project proposals, service agreements, or invoices. All fees are quoted in the currency specified and are exclusive of applicable taxes unless stated otherwise.
Payment is due according to the terms specified in your invoice or service agreement. We accept various payment methods including bank transfers, credit cards, and other electronic payment options.
Late payments may incur interest charges and may result in suspension of Services. We reserve the right to pursue legal action for unpaid invoices.
Refund policies will be specified in individual service agreements. Generally, payments for completed work or services rendered are non-refundable unless otherwise agreed in writing.
We strive to provide high-quality services and will make reasonable efforts to deliver work that meets agreed-upon specifications. Specific warranties for projects will be detailed in service agreements.

This obligation shall survive the termination of our business relationship and continue for a period specified in any separate confidentiality agreement or for three (3) years from disclosure.
Either party may terminate these Terms or any service agreement by providing written notice according to the terms specified in the applicable agreement. Termination procedures for ongoing projects will be governed by individual service agreements.
Upon termination, your right to access and use the Services will immediately cease. You remain responsible for any fees incurred prior to termination. Provisions that by their nature should survive termination shall continue to apply.
Upon request and subject to payment of all outstanding fees, we will make reasonable efforts to return your data in a commonly used format within thirty (30) days of termination.
In the event of any dispute or claim arising out of these Terms, the parties agree to first attempt to resolve the matter through good faith negotiations.
If informal resolution is unsuccessful, the parties agree to attempt mediation before pursuing other legal remedies. The cost of mediation shall be shared equally by both parties.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction whereKailash Tech is registered, without regard to its conflict of law provisions. Any legal action arising from these Terms shall be brought in the courts of that jurisdiction.
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the new Terms.
These Terms, together with any service agreements, statements of work, or other written agreements between you and Kailash Tech, constitute the entire agreement regarding the Services and supersede all prior agreements and understandings.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
